Master Service Agreement

This Master Service Agreement (the 'Agreement') governs the professional relationship between Elite Business Management Services Inc. | LLC ('EBMS', 'we', 'us', or 'our') and the client ('Client', 'you', or 'your') who engages EBMS for consulting, administrative, coaching, documentation, or related professional services. By signing a Service Agreement or engaging EBMS for services, you agree to be bound by the terms of this Agreement.

1. Services

EBMS provides professional consulting, administrative support, coaching, documentation, practice management, and related services as described in the applicable Service Agreement or Statement of Work (SOW) issued to the Client.

The specific scope, deliverables, timelines, and fees for each engagement are confirmed in writing prior to commencement of work. No work will begin until a signed Service Agreement and, where applicable, a deposit or full payment has been received.

EBMS reserves the right to decline or discontinue any engagement at its sole discretion, including where the requested services fall outside EBMS's scope of practice or where a conflict of interest arises.

2. Professional Limitations

EBMS provides consulting, administrative, and advisory services only. EBMS does not provide legal representation, regulated immigration advice, financial advice, medical advice, or any other regulated professional service.

Where a matter requires the involvement of a licensed lawyer, regulated immigration consultant (RCIC), accountant, or other regulated professional, EBMS will advise the Client accordingly and may facilitate referrals to qualified professionals.

Nothing in this Agreement or any communication from EBMS constitutes legal advice, immigration advice, or any form of regulated professional advice.

3. Fees and Payment

Professional fees are quoted in United States Dollars (USD) unless otherwise stated. Canadian clients are subject to applicable GST/HST based on their province or territory of residence.

Fees are confirmed in the applicable Service Agreement prior to commencement of work. Starting fees are listed on the EBMS Investment page for general guidance; final fees are determined following assessment of the scope, complexity, and requirements of each engagement.

Payment terms, including deposit requirements and payment schedules, are set out in the applicable Service Agreement. EBMS accepts payment via the methods specified at the time of engagement.

Government filing fees, educational institution fees, biometrics, medical examinations, language testing, translations, courier charges, taxes, legal fees, regulated professional fees, and other third-party costs are not included in EBMS professional fees unless expressly stated in the Service Agreement.

All fees paid are subject to the EBMS Refund Policy, available at payebms.work/refund-policy.

4. Client Responsibilities

The Client agrees to provide accurate, complete, and timely information, documentation, and instructions as reasonably required by EBMS to perform the services.

The Client acknowledges that EBMS's ability to deliver services in a timely and effective manner depends on the Client's cooperation, responsiveness, and provision of required materials.

The Client is responsible for reviewing all documents prepared by EBMS for accuracy and completeness before submission to any third party, institution, or government authority.

The Client agrees not to use EBMS's services for any unlawful purpose or in any manner that violates applicable laws, regulations, or professional standards.

5. Confidentiality

EBMS treats all Client information with strict confidentiality. EBMS will not disclose Client information to third parties except: (a) as required by applicable law; (b) with the Client's explicit written consent; or (c) to trusted service providers engaged by EBMS to assist in delivering the services, subject to appropriate confidentiality obligations.

The Client agrees to keep confidential any proprietary information, methodologies, templates, or materials provided by EBMS in connection with the engagement.

Confidentiality obligations survive the termination of this Agreement.

6. Intellectual Property

All templates, methodologies, frameworks, tools, and proprietary materials developed by EBMS remain the intellectual property of EBMS. The Client receives a limited, non-exclusive licence to use deliverables prepared specifically for the Client's engagement for the Client's own internal purposes.

The Client may not reproduce, distribute, sell, or otherwise exploit EBMS's proprietary materials without prior written consent.

7. Limitation of Liability

EBMS's liability to the Client for any claim arising out of or in connection with this Agreement or the services provided shall not exceed the total professional fees paid by the Client to EBMS in the three (3) months preceding the event giving rise to the claim.

EBMS shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, loss of data, or loss of opportunity, even if EBMS has been advised of the possibility of such damages.

EBMS is not responsible for decisions made by government authorities, educational institutions, employers, courts, or other third parties in connection with applications, submissions, or matters in which EBMS has provided administrative support.

8. Term and Termination

This Agreement commences on the date the Client signs a Service Agreement or engages EBMS for services and continues until the completion of the engagement or earlier termination.

Either party may terminate an engagement by providing written notice to the other party. In the event of termination, the Client is responsible for payment of all fees for services rendered up to the date of termination, plus any non-recoverable third-party costs incurred on the Client's behalf.

EBMS may terminate an engagement immediately and without notice if the Client engages in conduct that is unlawful, abusive, or materially inconsistent with the terms of this Agreement.

9. Dispute Resolution

The parties agree to attempt to resolve any dispute arising out of or in connection with this Agreement through good-faith negotiation before pursuing formal dispute resolution.

If the parties are unable to resolve a dispute through negotiation, the dispute shall be submitted to mediation before a mutually agreed mediator. The costs of mediation shall be shared equally unless otherwise agreed.

This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein.

10. General Provisions

This Agreement, together with the applicable Service Agreement and any SOW, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, representations, and understandings.

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

EBMS reserves the right to update this Agreement from time to time. Clients will be notified of material changes. Continued engagement with EBMS following notice of changes constitutes acceptance of the updated terms.

This Agreement may not be assigned by the Client without EBMS's prior written consent.

This Master Service Agreement was last reviewed on July 22, 2026. EBMS reserves the right to update this Agreement at any time. Changes will be posted on this page with a revised effective date. This Agreement does not replace or supersede any signed Service Agreement between EBMS and a specific Client.
